Welcome to Keyva. These Terms of Service ("Terms") govern your use of our custom web application services provided by Everbetter Innovations ("we", "our", or "Keyva"). By using our services, you agree to these Terms.
1. Services Overview
Keyva provides custom web application development and hosting services. Our services include:
- Custom web application development tailored to your business needs
- Cloud hosting on Keyva's managed infrastructure
- Ongoing maintenance, updates, and technical support
- Integration with third-party services (Google, WhatsApp, AI, etc.)
- Training and documentation for your team
2. Service Agreement
2.1 Project Scope
Before development begins, we will agree on a project scope document outlining the features, functionality, and deliverables. Changes within the agreed scope are accommodated during development sprints. Changes beyond the original scope will be discussed and quoted separately.
2.2 Development Process
We follow an iterative development approach with regular demos and check-ins. You will have opportunities to provide feedback and request adjustments throughout the development process.
3. Hosting and Infrastructure
3.1 Cloud Hosting
All Keyva applications are hosted exclusively on our managed cloud infrastructure. This ensures:
- Consistent performance and reliability
- Enterprise-grade security measures
- Regular backups and disaster recovery
- 24/7 system monitoring
- Seamless updates and maintenance
3.2 Uptime Commitment
We strive to maintain 99.9% uptime for all hosted applications. Scheduled maintenance will be communicated in advance and performed during low-traffic periods when possible.
4. Intellectual Property
4.1 Application Ownership
The source code, underlying technology, and proprietary components of applications developed by Keyva remain the intellectual property of Everbetter Innovations. You are granted a license to use the application for your business operations as long as your subscription remains active.
4.2 Your Data
You retain full ownership of your business data entered into the application. We do not claim any ownership rights over your data and will not use it for any purpose other than providing the agreed services.
4.3 Branding
Your application may include Keyva branding (e.g., "Powered by Keyva") unless otherwise agreed in your service agreement.
5. Payment Terms
5.1 Development Fees
Development fees are quoted based on the agreed project scope. Payment schedules will be outlined in your service agreement, typically structured as milestone-based payments.
5.2 Subscription Fees
Ongoing hosting, maintenance, and support are provided on a subscription basis. Subscription fees are billed monthly or annually as agreed. Late payments may result in service suspension.
5.3 Additional Work
Work beyond the original scope will be quoted separately. No additional work will be performed without your written approval of the quote.
6. Your Responsibilities
As a Keyva client, you agree to:
- Provide accurate and timely information required for development
- Participate in scheduled demos and provide feedback
- Ensure authorized users comply with these Terms
- Maintain the confidentiality of login credentials
- Use the application only for lawful business purposes
- Pay fees according to the agreed payment schedule
7. Prohibited Uses
You may not use our services to:
- Violate any applicable laws or regulations
- Store or transmit malicious code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the integrity of our services
- Resell or redistribute our services without authorization
- Use the application for any illegal or fraudulent activities
8. Support and Maintenance
8.1 Technical Support
We provide technical support via email and WhatsApp during business hours. Response times depend on the severity of the issue, with critical issues prioritized.
8.2 Updates and Enhancements
We regularly update our systems for security and performance. Major feature enhancements beyond your original scope may be quoted as additional work.
9. Data and Security
We implement enterprise-grade security measures including data encryption, secure access controls, and regular backups. Please refer to our Privacy Policy for detailed information on how we handle your data.
10. Termination
10.1 By You
You may terminate your subscription with 30 days written notice. Upon termination, we will provide a reasonable period for you to export your data before it is securely deleted.
10.2 By Us
We may suspend or terminate services if you breach these Terms, fail to pay fees, or use the services for prohibited purposes. We will provide notice and an opportunity to remedy the breach where possible.
11. Limitation of Liability
To the maximum extent permitted by law, Keyva shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of our services.
Our total liability for any claims under these Terms shall not exceed the amount paid by you for the services in the 12 months preceding the claim.
12. Disclaimer of Warranties
While we strive to provide reliable and secure services, our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the services will be uninterrupted or error-free.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes via email or through the application. Continued use of our services after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of Brunei Darussalam. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through the appropriate legal channels in Brunei Darussalam.
